Fender Musical Instruments Corp. to Acquire Kaman Music Corp.

SCOTTSDALE, Ariz.--(BUSINESS WIRE)--Fender Musical Instruments Corporation (FMIC) announced today that it has entered a definitive agreement to acquire Kaman Music Corporation (KMC). FMIC agreed to purchase Kaman Music Corp., a wholly owned subsidiary of parent company Kaman Corp. (NASDAQ-GM: KAMN), for approximately $117 million in cash, subject to specified post-closing purchase price adjustments. Closing is expected to occur prior to January 1, 2008.

Kaman Music Corp. is the preeminent independent U.S. distributor of musical instruments and accessories, offering more than 20,000 products for amateurs and professionals. KMC owns Ovation Guitars, LP and Toca hand percussion products, Gibraltar Hardware, Genz Benz Amplification, Hamer Guitars, and is the exclusive U.S. sales representative for Sabian Cymbals, and exclusive worldwide distributor of Takamine Guitars and Gretsch Drums.

Kaman Music Corporation will continue to be led by current President, Edward Miller. Miller has 35 years of experience with Kaman, having joined the company in 1972 and later serving as Executive Vice President and Chief Operating Officer. He was appointed President of Kaman Music Corp. in June of 2007.

Fender was advised by the law firm, Sullivan & Cromwell LLP. Kaman was advised by Lazard and the law firm, Skadden, Arps, Slate, Meagher & Flom, LLP
 
So, will Warmoth be licensed to do replacement parts for bolt on ovations or Hamers? :)

Didn't somebody here write a story about the customer tours + lunches that Kaman does yearly? I wonder if Fender will continue this..
 
I did.  They do the tours via Ovation/Hamer (who share the same building).

I've got to get the inside scoop on this from Bill Kaman.  Interesting proposal though.  I know Fender bought Tacoma in order to get a place to build acoustics with their name on them.  I'm wondering where its headed.... as... Kaman's Ovation and Hamer sales are really rather small compared to the "other and allied product" sales that Kaman Music handles.  I dont think Fender would buy them for the Ovation / Hamer sales.  Could be wrong.  Could be Bill and or Charlie put the company on the block, wanting to cash out, and hoping it went to say.... Fender... rather than some other holding company.

My sources have nothing to say as of yet.. but... thats not unusual.  There is some chatter about "get your pre-Fender Ovations now while you can".  Thats to be expected.  The whole thing is a huge
